1. Purpose
KPS UNITED negotiates group pricing and vendor agreements on behalf of its members. This Agreement
ensures compliance for the specific business location listed below.
2. Member Obligations
- Group Pricing Commitment: Member must accept and purchase at the group price
negotiated by KPS UNITED.
- Vendor Participation Rule: If Member refuses one approved vendor, they lose all
vendor discounts for this location.
- Store Spacing Agreement: Member must allocate and maintain product display spacing
as directed by KPS UNITED.
- Exclusive Purchasing Rule: Member shall not purchase the same vendor products from
outside sources (e.g., Walmart, Dollar General, other distributors).
- Price Integrity: Member must sell products at the vendor-approved price and shall
not remove, alter, or tamper with price tags.
- Issue Reporting: Any concerns must be submitted to KPS UNITED in writing.
3. Compliance Enforcement
- Vendor Complaints: If a vendor reports non-compliance, KPS UNITED will notify
Member in writing.
- Correction Period: Member has seven (7) days to correct the issue.
- Termination: If Member fails to comply, KPS UNITED may terminate all vendor
contracts for this business location.
4. Term & Termination
- This Agreement applies only to the business listed in the signature section.
- Each additional business owned by Member must sign a separate Agreement.
- Termination applies individually per business location.
5. Governing Law
This Agreement shall be governed by the laws of Kentucky.
6. Entire Agreement
This Agreement represents the entire understanding between KPS UNITED and the specific business location
listed above.
